By using the Service provided by Nox LLC, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and Nox LLC.

Nox LLC reserves the right to modify or update these Terms at any time without prior notice. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically for any updates.

3. Description of Services

Nox LLC provides a tool designed to generate, share, and collect data for B2B credit applications. Our Service facilitates the management of credit applications between businesses, integrating with platforms such as QuickBooks Online (QBO) for data synchronization. Please note that Nox LLC does not assume any credit risk and does not guarantee the accuracy of any information within the credit applications. It is the responsibility of the User to research and make informed decisions based on the data collected through our Service. We function solely as a reporting and data collection tool.

4. User Responsibilities

As a User of the Service, you agree to:

• Provide Accurate Information: Ensure that all information provided is accurate, complete, and up-to-date.
• Compliance with Laws: Use the Service in compliance with all applicable local, state, national, and international laws and regulations.
• Account Security: Maintain the confidentiality of your account credentials and are responsible for all activities that occur under your account.
• Prohibited Activities: Refrain from using the Service for any unlawful or unauthorized purposes, including but not limited to infringing on intellectual property rights, distributing malware, or conducting fraudulent activities.

5. Account Registration and Security

To access certain features of the Service, you may be required to create an account. When registering:

• Accurate Information: Provide truthful and accurate information.
• Responsibility: You are responsible for maintaining the confidentiality of your account and password.
• Unauthorized Access: Notify Nox LLC immediately of any unauthorized use of your account or breach of security.

6. Payment Terms

• Pricing: Adding new licenses for additional QuickBooks companies will be charged at the current rate at the time of purchase. The current price is $299 for a lifetime license covering one QuickBooks company.
• Billing: We accept major credit and debit cards through Stripe as our third-party payment processor, ensuring secure transactions for all Users.
• Refund Policy: Refunds can be requested by contacting support@noxcreditapp.com. Refund requests will be reviewed on a case-by-case basis, and any approved refunds will be processed within 5-7 business days.
• Changes to Pricing: Nox LLC reserves the right to modify pricing at any time. Any changes will be communicated to Users in advance, allowing them to review updated pricing before any new charges are applied.

7. Intellectual Property Rights

All content, features, and functionalities of the Service, including but not limited to text, graphics, logos, and software, are the exclusive property of Nox LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Users are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purposes.

8. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

9. Data Protection

Nox LLC is committed to safeguarding your data. 10. Limitation of Liability

To the fullest extent permitted by law, Nox LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Service. Nox LLC does not assume any credit risk and does not guarantee the accuracy of any credit application data. Users are responsible for conducting their own research and making informed decisions based on the information provided by the Service.

11. Indemnification

You agree to defend, indemnify, and hold harmless Nox LLC and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any User Content submitted by you.

12. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Oklahoma, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. By using the Service, you agree to waive your right to a trial by jury or to participate in a class action.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located within Oklahoma for the resolution of any disputes.

14. Termination

Nox LLC may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

15. Third-Party Services

The Service may integrate with third-party services such as QuickBooks Online (QBO) and SendGrid. Your use of these third-party services is subject to their respective terms and policies. Nox LLC is not responsible for the actions or inactions of these third parties and does not endorse or guarantee their services.

16. Warranty Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, express or implied. Nox LLC does not guarantee that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee the accuracy of any information generated, shared, or collected through the Service.

18. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Nox LLC regarding the use of the Service and supersede any prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Nox LLC may assign these Terms at its discretion.
• Force Majeure: Nox LLC shall not be liable for any failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, wars, or internet disruptions.
